General Terms and Conditions (GTC)
1. Scope of Application
These General Terms and Conditions apply to all contracts between ACRYHOLZ, owner: Frederik Wunderlich, Zur Alten Börse 41, 12681 Berlin, Germany, E-mail: info@acryholz.de (hereinafter referred to as “ACRYHOLZ”, “we” or “us”) and our customers regarding the sale of goods and the provision of services. These General Terms and Conditions apply both to consumers within the meaning of Section 13 of the German Civil Code (B2C) and to entrepreneurs within the meaning of Section 14 of the German Civil Code (B2B), unless an explicit distinction is made between these customer groups. Sales are carried out in particular through our online shop at www.acryholz.de as well as through external sales platforms such as eBay. Any deviating terms and conditions of the customer shall not be accepted unless we expressly agree to their validity in writing.
2. Contractual Partner and Conclusion of Contract
The purchase contract is concluded with: ACRYHOLZ, owner: Frederik Wunderlich, Zur Alten Börse 41, 12681 Berlin, Germany. The presentation of products in our online shop does not constitute a legally binding offer, but merely an invitation to submit an order. By completing the ordering process, the customer submits a binding offer to conclude a purchase contract. The contract is concluded as soon as we accept the order by sending an order confirmation via e-mail or by shipping the goods. For orders placed via external sales platforms, in particular eBay, the respective contract conclusion terms and conditions of those platforms shall apply additionally.
3. Product Description and Condition
Our products consist partly of natural materials and may have individual differences due to their natural origin. In particular, deviations may occur in colour, grain pattern, structure, pore appearance, inclusions and visual effect. These characteristics are typical of the material and do not constitute a defect. Stabilized wood consists of genuine wood that has been stabilized with synthetic resin through a technical process. It remains a natural product with individual characteristics. For photographed individual pieces, the product shown is generally part of the product description.
4. Use of Products and Safety Information
Our products are predominantly intended as raw materials for further artisanal processing. They are not finished consumer goods and must be processed according to their intended use. Mechanical processing may generate wood dust and plastic dust. We recommend the use of suitable personal protective equipment, in particular a dust protection mask, protective goggles and suitable extraction equipment or sufficient ventilation. Our products are not toys and are not suitable for unsupervised use by children. The responsibility for proper processing and use lies with the respective processor.
5. Prices and Payment Terms
All prices include statutory VAT if the customer is a consumer. In sales to entrepreneurs, prices may be stated plus statutory VAT. The available payment methods are displayed during the ordering process. The invoice amount must be paid according to the agreed payment method. Separate payment conditions may be agreed for individual services, in particular contract stabilization services.
6. Delivery and Shipping
Delivery shall be made to the delivery address provided by the customer. The available shipping methods and delivery times are displayed during the ordering process. The stated delivery times begin for advance payment upon receipt of payment and for other payment methods upon conclusion of the contract. If an ordered product is exceptionally unavailable, we will inform the customer immediately. Any payments already made will be refunded in this case. Partial deliveries are permitted insofar as this is reasonable for the customer.
7. Shipping and Transfer of Risk
Consumers (B2C): For consumers, the risk of accidental loss or accidental deterioration of the goods generally passes to the customer or an authorized recipient only upon delivery of the goods. This also applies if the customer chooses a different type of shipment, provided that the legal requirements are met. Entrepreneurs (B2B): For entrepreneurs, the risk of accidental loss and accidental deterioration of the goods passes to the customer upon handover of the goods to the transport company. This also applies if we assume the shipping costs or organize the shipment.
8. Retention of Title
The delivered goods remain our property until full payment has been received. For consumers: The retention of title applies to consumers until the purchase price has been paid in full. For entrepreneurs: The following applies additionally to entrepreneurs: The goods remain our property until all claims arising from the ongoing business relationship have been settled in full. The entrepreneur is entitled to resell the goods in the ordinary course of business. The entrepreneur hereby assigns to us, already now, all claims against third parties arising from such resale up to the amount of the invoice value.
9. Contract Stabilization and Individual Services
In addition to the sale of finished products, ACRYHOLZ also offers individual stabilization services. In contract stabilization, wood provided by the customer is processed and stabilized according to individual requirements. This is not the sale of a standard product, but an individually commissioned service. The customer is responsible for ensuring that the material sent in is suitable, that sufficient quantities and dimensions are provided and that the desired requirements are clearly communicated. Processing may change the properties of the original material. Due to the natural characteristics of wood, the result may vary individually. Minor deviations in colour, structure, weight, appearance or material effect do not constitute a defect.
9.1 Ownership and Handling of Submitted Material
For contract stabilization, ACRYHOLZ exclusively processes materials provided by the customer or materials procured according to the customer’s wishes. Ownership of the original material submitted by the customer remains entirely with the customer. Processing and stabilization do not result in a transfer of ownership to ACRYHOLZ. ACRYHOLZ is entitled to process, modify and handle the material as required to perform the agreed service and according to the order.
9.2 Suitability of the Original Material
The customer is responsible for ensuring that the material provided is suitable for the intended processing. This applies in particular to the type of wood, dimensions, moisture content, condition of the material and existing cracks, defects or damage. The customer must inform ACRYHOLZ of any known special characteristics of the material. If it becomes apparent during processing that the material is unsuitable or only partially suitable due to its properties, ACRYHOLZ will inform the customer and coordinate the further procedure. No guarantee is given that every submitted natural material can be stabilized or processed without restrictions.
9.3 Material-Related Characteristics and Deviations in Results
When processing natural materials, the result may be subject to individual variations despite careful workmanship. This applies in particular to colour effect, transparency, depth effect, grain pattern, structure, weight, feel and visual appearance. Such differences are typical of the material and do not constitute a defect. In particular, when stabilizing wood, natural characteristics of the original material may remain visible. Stabilization changes the properties of the wood but does not necessarily eliminate all natural features.
9.4 Minimum Quantities and Technical Requirements
The technical requirements agreed in advance apply to contract stabilization services, in particular with regard to minimum quantity, dimensions and condition of the material. ACRYHOLZ may refuse to carry out stabilization if the material is technically unsuitable or does not meet the agreed requirements. Costs already incurred for inspection, preparation or processing may be charged to the customer if this has been agreed in advance.
9.5 No Guarantee for Specific Processing Results
The stabilization process is carried out according to the current state of technology and with the greatest possible care. However, due to the natural characteristics of wood, no guarantee can be given for a specific visual result, a specific colour intensity or a specific material effect. In particular, it cannot be guaranteed that every wood structure will be penetrated evenly, that every desired colour depth will be achieved, that existing natural characteristics will disappear completely or that the stabilized material will be suitable for every subsequent application.
9.6 Return of Remaining Material
After completion of the contract stabilization, remaining pieces or unusable material portions will, where technically possible and economically reasonable, be returned together with the processed material. There is no entitlement to the return of specific material residues if they no longer exist, have been changed or can no longer be used due to processing.
9.7 Delays Due to Unsuitable Material or Force Majeure
The agreed processing times are subject to the technical suitability of the material and an uninterrupted production process. Delays caused by unsuitable material, necessary inquiries, missing customer information or events beyond our control shall extend the processing time accordingly.
10. Individual Production and Custom-Made Products
Products manufactured, cut, assembled or processed according to individual customer requirements are considered customer-specific products. This applies in particular to individually cut pieces of wood, special dimensions, special colour combinations, individual stabilization requirements and custom-made products outside the standard range. For such products, manufacturing is carried out according to the individual specifications of the customer. For individually manufactured products, production is carried out exclusively according to the information and specifications provided by the customer. The customer is responsible for providing the desired dimensions, properties, colour combinations and technical requirements completely and correctly before production begins. After individual production has started, changes can only be considered if technically possible and expressly agreed. A change or cancellation after the start of individual production is generally only possible if expressly agreed. Statutory rights of the customer, especially in the event of defects, remain unaffected.
11. Returns and Right of Withdrawal
Consumers generally have the statutory right of withdrawal in accordance with legal provisions. Details are provided in our separate withdrawal instructions. Entrepreneurs do not have a statutory right of withdrawal unless expressly agreed otherwise. The right of withdrawal may be excluded for individually manufactured products or products manufactured according to customer specifications if the legal requirements for this are met.
12. Warranty and Defect Rights
The statutory warranty rights apply. Consumers (B2C): The statutory provisions regarding liability for material defects apply to consumers. In the case of natural products such as wood, typical material-related characteristics do not constitute a defect. These include in particular natural colour variations, different grain patterns, individual structures, natural inclusions and differences between individual pieces of wood. Stabilized wood is a product made from genuine wood. Despite stabilization, natural properties of the wood remain present. Entrepreneurs (B2B): The statutory provisions apply to entrepreneurs with the following additions: The entrepreneur is obliged to inspect the goods immediately after receipt and to notify us immediately of any recognizable defects. If the entrepreneur fails to provide notification, the goods shall be deemed accepted in accordance with statutory provisions. The warranty period shall be determined according to statutory provisions unless otherwise agreed.
13. Liability
We shall be fully liable for damages resulting from injury to life, body or health caused by an intentional or negligent breach of duty by us, our legal representatives or vicarious agents. Furthermore, we shall be fully liable for damages caused by intent or gross negligence. In the event of slightly negligent breach of essential contractual obligations, our liability shall be limited to the foreseeable damage typically occurring. Essential contractual obligations are obligations whose fulfilment enables the proper execution of the contract and on whose compliance the customer may regularly rely. Any further liability is excluded. Statutory claims under the Product Liability Act remain unaffected.
14. Processing and Further Use of Our Products
Our products are predominantly sold as raw materials for further artisanal processing. The customer is solely responsible for the proper processing, use and further processing of the products. This applies in particular to applications such as knife handles, jewellery, musical instruments, design objects, workpieces and other individual applications. ACRYHOLZ does not guarantee that the material is suitable for a specific intended use unless this has been expressly agreed in writing. The customer must independently verify the technical properties of the material and the requirements of their specific application. Particularly in safety-relevant applications, responsibility for the design, processing and final product lies with the respective manufacturer or processor.
15. Product Safety and Manufacturer Information (GPSR)
ACRYHOLZ ensures that the products offered are provided with the necessary safety information according to their intended use. Our products are predominantly raw materials for artisanal further processing and are not finished consumer products. Safety instructions for processing are provided on the respective product pages and, where applicable, on the product packaging. Processing stabilized wood may generate wood dust and plastic dust. Suitable personal protective equipment as well as sufficient extraction or ventilation are recommended. The products are not suitable as toys and must not be used by children without supervision.
16. Intellectual Property and Product Information
The product images, texts, descriptions and other content provided by us are protected by copyright and may not be copied, reproduced or commercially used without our consent. Product images show the actual condition of the offered products if they are photographed individual pieces. For standard products, product images serve as exemplary illustrations. Due to the use of natural materials, deviations may occur.
17. Data Protection
Information on the processing of personal data can be found in our privacy policy. This forms part of our online offering and can be accessed at any time on our website.
18. Alternative Dispute Resolution
The European Commission provides a platform for online dispute resolution. We are not obliged and generally not willing to participate in dispute resolution proceedings before a consumer arbitration board. The statutory rights of the customer remain unaffected.
19. Applicable Law
All contractual relationships between ACRYHOLZ and the customer shall be governed by the law of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law shall only apply insofar as it does not deprive them of the protection provided by mandatory legal provisions of the country in which they have their habitual residence.
20. Place of Jurisdiction
For contracts with entrepreneurs, the following applies: The exclusive place of jurisdiction for all disputes arising from business relationships between ACRYHOLZ and entrepreneurs shall be Berlin, Germany. This only applies insofar as the customer is a merchant, a legal entity under public law or a special fund under public law, or has no general place of jurisdiction in Germany. For consumers, the statutory provisions regarding jurisdiction shall apply.
21. Final Provisions
Should individual provisions of these General Terms and Conditions be or become wholly or partially invalid, the validity of the remaining provisions shall remain unaffected. The statutory provisions shall apply in place of the invalid provision.
